Physio incorporation: professional corporation, clinic corporation, or both?
Two different corporations solve two different problems for a physiotherapist. A professional corporation — available to physios who obtain a certificate of authorization from the College of Physiotherapists of Ontario — carries your own treatment fees. An ordinary corporation carries a clinic business: the lease, the admin team, the kinesiologists and other staff. Owners of growing multidisciplinary clinics often need the second before the first, and the two are frequently confused.

Two corporations, two jobs
Start by naming the problem you are solving — lower tax on your own high billings, or a vehicle for a clinic that employs other people. The answer picks the entity:

The large rehab chains prove the second model: clinics across Ontario are owned by ordinary corporations that employ physiotherapists. What an ordinary corporation cannot do is act as the vehicle for your professional practice — where exactly your college draws that line for an owner-clinician billing inside their own clinic is a question worth putting to it directly, because the answer shapes how your fees are routed.
The professional corporation route
The PC is the tax play. Profit left inside is taxed at Ontario's small business rate of about 12.2% rather than personal rates reaching 53.53%, which turns retained earnings into an investment and debt-repayment engine. The constraints come from the college side: the name must follow your college's format and include Professional Corporation, the certificate of authorization must exist before the corporation treats anyone, and every share must be held by a physiotherapist — no family shareholders, since Ontario reserved that exception for physicians and dentists. Requirements and fees are the college's to change, so verify the current rules before you file. And nothing about the structure touches professional liability: that remains personal, insurance and all.
The clinic corporation route
If your ambition is a team — physios on payroll or contract, a kinesiologist, a massage therapist, front desk staff — the ordinary corporation is usually the right first entity. It signs the lease, owns the shockwave machine, employs the staff, and keeps the margin earned on other clinicians' caseloads. Because anyone can hold its shares, a spouse can be a genuine shareholder, though the TOSI rules still tax dividends to a family member who does not work in the business at top rates. Write the associate agreements down and make the money flows match them; loose arrangements are what CRA reviewers and college investigators each dislike for their own reasons.
The clinic corporation is also the exit vehicle. A buyer purchases shares of the business — brand, contracts, team, charts — and if the corporation qualifies as a small business corporation at sale, the lifetime capital gains exemption can shelter a meaningful slice. Qualification has conditions that take years to arrange, which is a reason to structure early rather than the week an offer arrives.
The HST mix inside a physio clinic
Physiotherapy itself is exempt from GST/HST, so a pure physio practice charges no HST and claims no input tax credits. Multidisciplinary clinics rarely stay pure: kinesiology sessions and some adjacent services are often taxable, and retail — braces, resistance bands, TENS units — is taxable. Once the taxable side passes $30,000 in four rolling quarters, the corporation must register, charge HST on those lines only, and split input tax credits between exempt and taxable activity. Timing, and the travel-PT wrinkle
A new grad on a clinic's payroll has nothing to incorporate — T4 income cannot flow through a corporation. The PC starts making sense when contract billings run well past what you spend; the clinic corporation makes sense the day you commit to a lease and a team, almost regardless of tax. Common questions.
Do I need a professional corporation to own a physio clinic?
No. An ordinary corporation can own and operate a clinic that employs physiotherapists — the big rehab chains are structured that way. The professional corporation exists to carry your own treatment fees, and your college sets the boundaries between the two.
Can my spouse hold shares in my physiotherapy corporation?
Not in the professional corporation — every share must belong to a College of Physiotherapists member. In an ordinary clinic corporation a spouse can hold shares, though TOSI still taxes dividends at top rates unless they genuinely work in the business.
Is physiotherapy subject to HST?
Physiotherapy services are exempt. Taxable lines like kinesiology sessions or product retail force HST registration once they exceed $30,000 in four rolling quarters, with input tax credits split between the two sides.
