Mortgage broker tax services: exempt commissions, lumpy closings, real structure

Mortgage commissions are HST-exempt, which means you charge nothing on them and recover nothing on your costs — and now that Ontario permits brokerages to pay a broker's personal corporation, the T2125-or-incorporate question is finally a live one. We handle both: the structure decision under FSRA's rules and the instalment discipline that closings-driven income demands.

T2125 today, personal corporation when the numbers say so

Most mortgage agents start as sole proprietors: the brokerage reports commissions on a T4A, and everything lands on a T2125 inside the personal return. That stays the right answer until you consistently earn more than you spend. Ontario now permits a brokerage to pay remuneration to an unlicensed personal corporation owned by the agent or broker, subject to conditions — a door that was closed to this industry for years.

The corporation only wins if money stays inside it. Commission income retained in the corporation is taxed at Ontario's combined small-business rate of about 12.2 percent, leaving more working capital to invest or to carry you through a slow winter. If every dollar flows straight out to fund your household, incorporation adds accounting fees and a T2 filing without saving much tax. Two cautions before anyone incorporates. The corporation cannot itself deal or trade in mortgages — the licence stays personal, and the paperwork has to respect that line. And CRA looks at substance: the corporation should hold the contract with the brokerage, run the expenses, and bank the revenue, because a structure that exists only on the commission statement invites reassessment.

HST: exempt commissions cut both ways

Arranging a mortgage is a financial service under the Excise Tax Act, so lender-paid commissions, volume bonuses, and renewal payments are generally HST-exempt. You charge nothing on them — unlike your realtor referral partners, whose commissions carry 13 percent. The flip side stings: exempt revenue earns no input tax credits, so the HST you pay on desk fees, software, and marketing is a permanent cost, and we price it into your projections rather than pretending it comes back.

The edges are where brokers get caught. A bare referral fee — passing a name to an insurance agent or a lawyer with no role in arranging the product — is generally a taxable supply, not an exempt one. If taxable side streams like that grow past the $30,000 small-supplier threshold on their own, you must register and charge HST on them even while your core commission income stays exempt.

Deductions that survive a commission-expense review

CRA reviews commission earners' expenses routinely, so the goal is claims that match your brokerage statements and a paper trail that closes questions fast. The recurring set for agents and brokers:

  • Desk fees and splits — reconcile to the brokerage's commission statements so reported revenue is gross, not net, with fees deducted visibly.
  • Licensing and education — FSRA licence renewal, relicensing education, and courses that maintain your standing.
  • E&O insurance and software — errors and omissions premiums, Filogix or Finmo submission tools, CRM subscriptions.
  • Marketing and leads — paid leads, co-branded campaigns with realtors, open-house sponsorships; client appreciation meals at the 50 percent limit.
  • Vehicle and home office — a mileage log for client, lawyer, and lender visits, and a measured workspace claim.

Referral fees you pay out are deductible too, but only with a record of who was paid, for what, and under what agreement — unsupported round-number payouts are the first thing a reviewer strikes.

Closings are lumpy — your tax plan should not be

No one withholds tax from a commission cheque, and a strong spring market can push half a year's income into three months. We set a per-deal set-aside percentage, calculate CRA instalments so the March and June payments reflect reality rather than last year's outlier, and budget both halves of CPP, which self-employed brokers fund alone. Year-end, we time RRSP contributions and, for incorporated brokers, the salary-dividend mix against what the pipeline actually funded.
